BUSINESS CORPORATIONS AND LIMITED LIABILITY PARTNERSHIPS

  • Draft articles of incorporation and organizational documents of business corporations and limited liability partnerships, and take any corporate or otherwise actions required in order to incorporate the same, in accordance with Mexican laws, including the notarization of documents before notaries public.
  • Supervise, maintain and keep corporate documents and records pertaining to any kind of business corporations and partnerships, such minutes of meetings, board of directors meetings, entries in Stock Registries and Capital Variation Books, stock certificates, taking any necessary legal actions, so that the same may come into effect in Mexico and abroad.
  • Conduct due diligences on any kind of corporations and partnerships.

MERGERS AND ACQUISITIONS

  • Promote, negotiate and render legal advice with respect to any acquisition, divestiture, consolidation, merger or spin-off of any kind of corporations and partnerships.
  • Prepare and manage data rooms created in connection with the acquisitions of corporations and partnerships, and conduct due diligences.
  • Draft, negotiate and execute purchase and sale agreements.

COMPETITION LAW

  • Create legal schemes for acquisitions that must be notified to the Federal Competition Commission.
  • Draft and file applications with the Federal Competition Commission related to prospective acquisitions or divestitures.
  • Draft and file applications required in connection with public auctions and bids.

CONTRACTS AND AGREEMENTS

  • Draft, negotiate and render legal advice with respect to any kind of contracts and agreements of a civil or commercial nature, such as purchase and sale agreements, lease agreements, service agreements, agency agreements, trusts, etc.

REAL ESTATE LAW

  • Render legal advice with respect to any purchase, sale, lease, and creation of liens on any kind of real assets.
  • Draft, negotiate and render legal advice in connection with trust security agreements for real estate projects, for home, industrial or commercial purposes.
  • Advise legal entities and individuals in the making of investments in the so-called “restricted” areas.

FOREIGN INVESTMENTS

  • Create and develop investment projects related to industrial activities, professional services and marketing of goods and products.
  • Obtain approvals and authorizations from the National Foreign Investment Commission in order to carry out investment programs and start-up the operation of foreign companies, taking all the necessary actions to comply with applicable laws that govern the activities conducted by, and any interest in Mexican corporations and partnerships held by, foreign investors.
